Terms of Use

These Terms of Use ("Terms") govern your access to and use of Superplanner, a product operated by Grid Heap, Inc.. They are written specifically for Superplanner and do not combine terms for other Grid Heap products.
1. Acceptance
By using Superplanner, you agree to these Terms. If you use the product on behalf of an organization, you represent that you have authority to bind that organization.
You must be at least 13 years old if you reside in the United States, at least 16 years old if you reside elsewhere, and old enough to use the product under the laws where you live. If you are under 18, a parent or guardian may need to accept these Terms for you.
2. Product Scope
Superplanner is a planning workspace for schedules, tasks, calendars, reminders, and optional integrations. You may use it to plan work, manage calendars and reminders, sync selected data, connect integrations, and access paid features.
Features may vary by platform, region, account status, plan, and connected provider. We may update, add, limit, or remove features as the product evolves.
3. Accounts and Security
Some features require an account, subscription, or app store entitlement. You are responsible for keeping credentials secure and for activity under your account. Notify us if you believe your account has been compromised.
4. Your Content
You retain ownership of content and data you provide through Superplanner, including plans, tasks, reminders, calendar-related records, integration settings, notes, prompts, and other planning content you submit or sync. You grant us the limited rights needed to operate, secure, maintain, support, and improve the product and to follow your instructions.
You represent that you have the rights and permissions needed to submit, sync, display, process, and use your content through Superplanner.
5. Model-Assisted Features and Output
Superplanner may include optional automation, natural-language planning, calendar interpretation, and related model-assisted features. Model-assisted output can be inaccurate, incomplete, delayed, or unsuitable for your intended use. You are responsible for reviewing, validating, and approving any output before relying on it.
As between you and Grid Heap, you retain rights you already have in your input, and you own any output to the extent ownership can be assigned under applicable law. You must not claim that output was reviewed, approved, or guaranteed by Grid Heap unless we state that in writing.
6. Restrictions
You may use Superplanner only as permitted by law and these Terms. You must not:
- violate or bypass security, authentication, entitlement, rate-limit, billing, or access-control measures;
- reverse engineer, decompile, disassemble, scrape, or access non-public parts of the product except where the law expressly allows it;
- use the product to infringe rights, mislead people, distribute malware, send spam, abuse notifications, or create unlawful content;
- probe, scan, or test systems without authorization or interfere with any user, host, network, app store, provider, or integration;
- submit content you do not have rights to use or process;
- resell, rent, sublicense, or operate the product as a managed service unless we agree in writing.
7. Third-Party Services
Superplanner may connect to or rely on calendar providers, app stores, payment processors, hosting providers, email providers, and optional integration services that you choose to connect. Your use of those services is governed by their terms. We are not responsible for third-party services outside our control.
8. Product License and Software
Subject to these Terms and any applicable payment requirements, we grant you a limited, revocable, non-exclusive, non-transferable right to use Superplanner for your personal or internal business use. Client software may update automatically. Open source components remain governed by their applicable licenses.
9. Our Rights
We may change features, eligibility, limits, pricing, platform support, and availability. We may suspend, restrict, or terminate access if we reasonably believe your use violates these Terms, creates legal or security risk, harms users or the product, or is no longer operationally feasible.
10. Privacy
Our Privacy Policy explains how we handle personal information for Superplanner. By using the product, you acknowledge that you have read and understood that policy.
11. Subscriptions and Billing
Superplanner paid plans, app store entitlements, and related subscription features renew according to the terms shown at checkout, in the app, or in the relevant app store. Taxes, refunds, cancellations, trials, and renewals may be handled by the payment processor or app store. Subscription access may end if payment fails or the plan is cancelled.
Unless a checkout page, app store policy, or applicable law says otherwise, paid access remains active until cancelled and refunds are provided only where required by law or the relevant payment platform.
12. Availability
We aim to keep Superplanner reliable, but we do not guarantee uninterrupted availability or that every feature will remain available in every region, platform, or plan.
13. Intellectual Property
The product, software, designs, documentation, trademarks, and related materials are owned by Grid Heap or its licensors. These Terms grant only the limited right to use Superplanner as permitted by these Terms.
If you send feedback, ideas, or bug reports, we may use them without restriction or compensation.
14. Termination
You may stop using Superplanner at any time. We may suspend or terminate access if you violate these Terms, create risk for the platform, fail to pay, or if continued service is not legally or operationally feasible.
Sections that by their nature should survive termination will survive, including ownership, restrictions, disclaimers, limitation of liability, indemnification, dispute resolution, and payment obligations.
15. Warranty Disclaimers
Superplanner is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
We do not warrant that Superplanner will meet your requirements, preserve every record, send every notification at an exact time, remain compatible with every device or provider, or be free from harmful components introduced by third parties.
16. Limitation of Liability
To the maximum extent permitted by law, Grid Heap will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunities. Our aggregate liability is limited to the greater of the amount you paid for Superplanner in the twelve months before the claim or USD $100.
17. Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold harmless Grid Heap and its officers, directors, employees, contractors, and agents from claims, damages, losses, liabilities, costs, and expenses arising from your content, your use of Superplanner, your violation of these Terms, or your violation of law or third-party rights.
18. Dispute Resolution
Before bringing a formal claim, you agree to contact us at legal@gridheap.com and try to resolve the dispute informally. If we cannot resolve it within 60 days, either party may start formal proceedings.
If you are a U.S. resident, claims will be resolved by individual binding arbitration administered by the American Arbitration Association, except for small claims matters and requests for injunctive relief related to intellectual property or unauthorized use. You and we waive class, representative, and consolidated proceedings to the maximum extent permitted by law.
You may opt out of arbitration by emailing legal@gridheap.com within 30 days after first accepting these Terms and stating that you opt out of arbitration for Superplanner.
19. Modifications
We may update these Terms from time to time. If a change materially reduces your rights, we will provide reasonable notice through the product, website, or email when appropriate. Changes do not apply retroactively unless required by law.
20. Governing Law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless applicable consumer protection law requires otherwise.
21. Copyright and Notices
If you believe content available through Superplanner infringes your rights, contact legal@gridheap.com with enough detail for us to investigate. We may remove or disable access to allegedly infringing content where appropriate.
